E-Mail: info@keepitsimplebooking.com
Phone: +1 (929) 358-7214
2. Scope
These Terms and Conditions apply to all contracts for the use of Keep it Simple Booking and related services between NeoVerse Management LLC and businesses, commercial customers and self-employed professionals. The offer is exclusively aimed at B2B customers. No contract with consumers is intended.
3. Subject matter
Keep it Simple Booking is a cloud-based booking software for bookable units such as in particular:
- Pitches
- Accommodations
- Rooms
- Vehicles
- Bicycles
- Other bookable objects
The specific scope of services results from:
- The booked package
- The current service description on the website
- Any individually agreed additional services
4. Contract conclusion
A contract is concluded when the customer:
- Selects a paid package
- Successfully completes the order and payment process
- And access to the software or setup is provided
5. Prices and payment
The prices displayed at the time of the order apply. Depending on the booking, these consist in particular of:
- A recurring subscription fee
- A one-time setup fee
- And, where applicable, fees for booked add-on modules and additional services
Additional services, custom adjustments, integrations or individual work are not included in the standard scope of services and will be charged separately.
Unless otherwise agreed, the following applies to individual additional services:
- 150 EUR per hour
- Or a separately agreed fixed price
All prices shown are final prices; no VAT is added. The provider is NeoVerse Management LLC, based in the USA with no permanent establishment in the European Union. For customers established in the EU, the reverse charge procedure applies: the customer, as the recipient of the service, is liable for the VAT. If the customer enters a VAT identification number at checkout, it appears on the invoice.
Launch offer: While the launch offer is shown on keepitsimplebooking.com, the one-time setup fee is waived for purchases made via the website. The discount is deducted automatically at checkout. The amount shown at checkout is binding. Once the launch offer ends, the regular setup fee applies again.
6. Setup
After purchase, the system is provisioned automatically using the information entered during checkout. The customer configures their operation, including units, prices, seasons and booking imports, in the admin area themselves. Support may be requested when needed.
The customer is obliged to provide all information required for the setup completely, correctly and up to date.
NeoVerse Management LLC is not responsible for errors, delays or consequential damages resulting from incomplete, incorrect or late information provided by the customer.
7. Website editor, add-on modules and additional services
The website editor is part of every plan. With it, the customer designs their own website, which they download as a file package or integrate using the WordPress plugin provided by NeoVerse Management LLC. Hosting, domain and operation of this website are the customer's responsibility. The customer alone is responsible for all content of the website, in particular texts, images, imprint and privacy policy, even if it was created using the automatic takeover from an existing website. The customer may only use content for which they hold the necessary rights.
The service “Website set up for you” is a one-time service at the fixed price shown in the website editor (currently EUR 249). It is ordered in the website editor. Placing the order concludes a separate contract for this service; the amount is charged immediately to the payment method stored for the subscription. The service covers taking over texts and images from an existing website of the customer, arranging them, and matching colours and pages in the website editor. At the customer's express request, it also includes uploading the finished website to an existing WordPress installation or existing web space of the customer; for this, the customer provides a separate, time-limited access. It does not include in particular:
- Domain transfer as well as the provision and operation of hosting
- Writing new texts beyond the takeover, and photography
- Legal review of the imprint, privacy policy and other content
The customer provides the information required for this and reviews the result before publishing the website. After the upload, the customer removes the access provided for it.
Optional add-on modules are booked in the admin area as an additional item of the running subscription and charged pro rata from the time of booking at the price shown there. Cancellation in the admin area takes effect immediately; the unused period is credited pro rata. The main subscription remains unaffected. If the main subscription ends, the add-on modules end as well.
8. Term and termination
Monthly and annual packages are automatically renewed for the booked term unless cancelled before the end of the current billing period. Termination takes effect at the end of the current billing period. Setup fees already paid and services already rendered will not be refunded unless expressly agreed otherwise.
Money-back guarantee: On the first purchase of the system, the customer may end the contract within 30 days of the first payment without giving reasons by emailing info@keepitsimplebooking.com. NeoVerse Management LLC will then refund in full the subscription fees paid up to that point and any setup fee paid, via the original payment method. The contract ends immediately upon refund and access is blocked. The guarantee applies once per customer. Add-on modules and separately commissioned additional services are excluded from the refund.
9. Usage rights
The customer receives a simple, non-transferable right to use the software for the duration of the contract within the booked scope for their own business purposes. Transfer to third parties, sublicensing, misuse or unauthorized reproduction is not permitted.
10. Customer obligations
The customer is particularly responsible for:
- The accuracy of their content, prices, rules and settings
- The lawful use of the software
- Compliance with applicable tax, data protection, trade and other legal obligations
- The lawful use of their own payment providers, payment links and communication content
- Cash register, receipt and record-keeping obligations for on-site sales; the software is not a certified point-of-sale system within the meaning of the German Cash Register Security Ordinance (KassenSichV)
- The content, deadlines and any fees of payment reminders and dunning notices that the customer sends to guests via the software
11. Third-party providers
The software may work with third-party services, particularly in the areas of:
- Hosting
- Payment processing
- Communication
- Automation
NeoVerse Management LLC is not liable for outages, restrictions, delays or errors caused by third-party providers that are beyond its own sphere of influence.
12. Availability
NeoVerse Management LLC strives for the highest possible availability of the software. However, uninterrupted, error-free or fully available use at all times is not guaranteed.
In particular, maintenance, technical disruptions, security measures, updates, force majeure, network problems or third-party outages may lead to temporary restrictions.
13. Errors, data and liability
The software is provided to the best of our knowledge and with reasonable care. Nevertheless, technical errors, outages, incorrect calculations, display problems, delays or other disruptions can never be completely excluded.
The customer is obliged to verify business-critical settings, prices, rules, availability and payment logic themselves.
NeoVerse Management LLC is liable without limitation only for:
- Intent
- Gross negligence
- Damages from injury to life, body or health
In cases of slight negligence, NeoVerse Management LLC is only liable for breach of essential contractual obligations and only up to the amount of the typically foreseeable damage.
To the extent permitted by law, liability is excluded in particular for:
- Lost profits
- Revenue losses
- Indirect damages
- Consequential damages
- Data loss
- Incorrect customer input
- Incorrect or incomplete customer configurations
- Outages or errors of third-party providers
14. No substitute for legal or tax advice
Keep it Simple Booking is a technical software product. NeoVerse Management LLC does not provide legal, tax or business consulting unless this has been expressly and separately agreed. The customer remains responsible for reviewing and complying with their local legal, tax and regulatory requirements.
15. Data protection
Information on the processing of personal data can be found in the privacy policy.
16. Changes
NeoVerse Management LLC may adjust these Terms and Conditions and the scope of services for objective reasons, in particular in the event of:
- Technical changes
- Security requirements
- Changes by third-party providers
- Or legal requirements
Material changes will be communicated to the customer in an appropriate manner.
17. Applicable law
The law of the State of Wyoming, USA, applies, excluding conflict of law provisions, to the extent that no mandatory legal provisions conflict.
18. Jurisdiction
To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contractual relationship is the registered office of NeoVerse Management LLC.
19. Severability clause
Should any provision of these Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
